GoBrandReady Terms of Service

Last Updated: May 12, 2026 · Effective Date: May 12, 2026

These Terms of Service ("Terms") govern your access to and use of the brand-operations software, websites (gobrandready.com, app.gobrandready.com), Managed Website Service, Federal Compliance Brand Kit, Local Compliance Checklist, and related services (collectively, the "Service") provided by GoBrandReady, a property of BrandrAI, Inc., a Delaware corporation, with offices at 5 Cowboys Way, Suite 300-48, Frisco, Texas 75034 ("GoBrandReady," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms, our Privacy Policy, and our Refund Policy. If you do not agree, do not use the Service.

1. The Service — What It Is and What It Isn't

GoBrandReady provides brand-operations software and managed website services to operators in cannabis and other restricted industries (hemp/CBD, kratom, peptides, functional mushrooms, dispensary brands, multi-state operators).

GoBrandReady is not a law firm and does not provide legal advice. All compliance support, state-aware compliance rails, packaging-rules cards, label content checklists, marketing-channel approval matrices, verbatim warning libraries, and universal-symbol asset packs are operational support only. Customer is solely responsible for engaging licensed cannabis counsel to review any GoBrandReady output before public use. The disclaimer "appears to conform to [regulator] rules as of [date] — confirm with your state-licensed cannabis counsel before publication" appears on every customer-facing compliance output for this reason.

GoBrandReady does not sell cannabis or facilitate cannabis transactions. We do not handle product, take possession of regulated goods, broker sales between operators, or operate as a licensed cannabis entity in any jurisdiction. We provide software, content, templates, and managed website services to licensed operators.

2. Eligibility

To use the Service, you must:

  • Be at least 21 years old (or the age of majority in your jurisdiction)
  • Have legal authority to bind the business entity for which you are creating an account
  • Hold valid state licenses for any regulated activity you describe to us during onboarding (cannabis cultivation, processing, dispensing, etc.) where applicable to your use case
  • Not be subject to U.S. sanctions, embargoes, or denied-persons lists
  • Operate in a jurisdiction where your activities are lawful under applicable state law

For cannabis-vertical customers specifically: by creating an account, you warrant that you hold valid state cannabis-business licenses (cultivator, processor, manufacturer, dispensary, MMTC, or equivalent) for the states in which you operate, OR are pre-license/pre-launch and have disclosed that to us. False statements about license status are grounds for immediate account termination.

3. Account Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Notifying us promptly of any unauthorized account access
  • Providing accurate, current information during onboarding and updating it as needed
  • Ensuring that the content you upload to the Brand Vault (product photos, packaging, COAs, etc.) is lawful and that you have the right to upload and share it

4. Payment Terms

4.1 Subscriptions

Subscription fees (Founding Cohort DTC $99/mo, Multi-State $999/mo, Channel $1,500/mo, Lab $2,000/mo, Managed Website Service $499/mo, public tiers when announced) are billed in advance on a recurring monthly basis. Founding Cohort pricing is locked at signup; standard pricing applies upon cancellation and re-enrollment.

4.2 One-Time Products

Federal Compliance Brand Kit ($999) and Local Compliance Checklist ($199 per state) are billed in advance upon purchase. Fulfillment begins within 24 hours of payment and is typically completed within 48 business hours of customer intake completion.

4.3 Payment Method

We accept payment via the payment processor we designate (which may include ACH, card processing, or specialty cannabis-vertical payment processors). You authorize us to charge your designated payment method for all fees incurred under your account.

4.4 Late Payment

If your payment method fails or your account becomes more than 14 days past due, we may suspend access to the Service until payment is current. Repeated payment failures may result in account termination.

See our Refund Policy for refund and cancellation terms.

5. Customer Responsibilities — Regulatory Compliance

You are solely responsible for compliance with all federal, state, and local laws governing your business. This includes but is not limited to cannabis licensing laws, packaging regulations, marketing restrictions, age-verification requirements, tax obligations, and any other regulatory regime applicable to your activities. GoBrandReady's compliance rails are operational support designed to surface relevant rules — they do not replace your obligation to engage licensed counsel and operate lawfully.

6. Acceptable Use

You agree NOT to:

  • Use the Service for any unlawful purpose or in violation of applicable cannabis or controlled-substance laws
  • Upload content that infringes intellectual property rights of others
  • Upload content that is false, misleading, or designed to deceive consumers or regulators
  • Resell, sublicense, or republish GoBrandReady's templates, SOPs, compliance outputs, or proprietary content as your own product
  • Attempt to access the Service through automated means without our written consent
  • Reverse-engineer, decompile, or attempt to derive source code from the Service
  • Use the Service to facilitate cannabis sales to consumers in jurisdictions where such sales are illegal
  • Misrepresent your license status or operational scale

7. Intellectual Property

7.1 Our IP

GoBrandReady retains all rights, title, and interest in the Service, including software, templates, SOPs, compliance frameworks, state-aware rules engines, and all related documentation. We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during the term of your subscription.

7.2 Your Content

You retain all rights to the content you upload to the Service (brand assets, product photos, packaging, etc.). You grant GoBrandReady a worldwide, non-exclusive, royalty-free license to host, process, and display your content as necessary to provide the Service. We do not claim ownership of your brand or content.

7.3 Feedback

If you provide feedback, suggestions, or feature requests, we may use them without obligation or compensation to you.

8. AI Providers and Output

Portions of the Service use third-party AI providers (e.g., Anthropic, OpenAI) to generate compliance outputs, content recommendations, and brand-operations guidance. AI-generated outputs:

  • Are operational suggestions, not guarantees of accuracy or completeness
  • Must be reviewed by you and your counsel before public use
  • May contain errors or omissions
  • Are not legal advice

You assume full responsibility for any decision made based on AI-generated outputs.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy. GoBrandReady does not warrant that the Service will be uninterrupted, error-free, or that any compliance output will be accurate, complete, or current for your specific situation. GoBrandReady is not a law firm. No content on the Service constitutes legal advice. Customer is responsible for engaging licensed counsel.

10. Limitation of Liability

To the maximum extent permitted by law, GoBrandReady's total liability arising out of or relating to these Terms or the Service is limited to the fees you paid to GoBrandReady in the 12 months preceding the event giving rise to the claim. In no event will GoBrandReady be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost data, or business interruption, even if advised of the possibility of such damages. This limitation applies regardless of the legal theory (contract, tort, statute, or otherwise).

11. Indemnification

You agree to indemnify, defend, and hold harmless GoBrandReady, BrandrAI, Inc., and their officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of:

  • Your use of the Service
  • Your violation of these Terms or any applicable law or regulation
  • Your business operations, including regulatory violations, license issues, product liability, or consumer claims
  • Any content you upload to the Service
  • Any false or misleading statement you made during onboarding

12. Term and Termination

12.1 Term

These Terms remain in effect while you have an active account or subscription.

12.2 Termination by You

You may cancel your subscription at any time through your account billing settings or by emailing billing@gobrandready.com. Cancellation is effective at the end of the current billing period. See our Refund Policy for details.

12.3 Termination by Us

We may suspend or terminate your account immediately if you:

  • Materially breach these Terms
  • Provide false information about your business or license status
  • Engage in activity we determine is unlawful or harmful to other customers
  • Fail to pay fees that are more than 30 days past due
  • Lose state licenses required to operate lawfully in your stated jurisdiction

12.4 Effect of Termination

Upon termination: your access to the Service ends, you retain access to a 90-day export window for your Brand Vault content, no refunds for prior charges are issued (see Refund Policy for limited exceptions), and provisions of these Terms that by their nature survive termination (IP, limitation of liability, indemnification, governing law) continue to apply.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration in Delaware under the American Arbitration Association's Commercial Arbitration Rules, except that either party may seek injunctive relief in court for intellectual property or confidentiality violations. You waive any right to participate in a class action.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email to account holders at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

15. Miscellaneous

  • Entire Agreement: These Terms, together with the Privacy Policy, Refund Policy, and any signed addendums, constitute the entire agreement between you and GoBrandReady.
  • Severability: If any provision is held unenforceable, the remainder remains in effect.
  • No Waiver: Our failure to enforce any provision is not a waiver of that provision.
  • Assignment: You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Notices: Notices to GoBrandReady should be sent to the address above. Notices to you will be sent to the email on your account.
